1. Agreement to These Terms

By creating an account or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using Tide on behalf of a group of people, you represent that you have the authority to accept these Terms and that each member's use is also subject to them.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, such as 16 in parts of the EEA) to use Tide. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

3. What Tide Is (and What It Is Not)

Tide is a group expense and shared-pot (“kitty”) bookkeeping tool. It helps groups record shared expenses, track contributions, and calculate who owes what so a trip or event can be settled up.

Tide is not a bank, a money service business, a payment processor, or a financial institution. Tide does not process, hold, transfer, or move any money, and does not connect to your bank, card, or any payment service. All amounts shown in the app are informational records only. Any actual transfer of money between you and other people happens entirely outside of Tide, using methods you arrange yourselves.

Tide does not provide financial, accounting, tax, or legal advice. You are solely responsible for verifying balances and for any payments you make or receive.

4. Your Account

To use most features you must create an account. You agree to provide accurate information and to keep it up to date. Authentication is handled by our provider (see Section 8); you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. 5. Groups, Treasurers & Settling Up

Tide lets one member act as a “treasurer” who holds a shared kitty, and lets members log expenses, contributions, and transfers. Roles, balances, and the suggested settle-up plan are calculations based on the data you and your group enter.

• You and your group are solely responsible for the accuracy of the information you enter and for actually settling balances between yourselves.
• Tide's settle-up suggestions are provided for convenience and do not guarantee that any person will pay, or has paid, any amount.
• Tide is not responsible for disputes between group members, for unpaid balances, or for how any member holds or uses a shared kitty. Any such matters are strictly between you and the other members.

6. Acceptable Use

You agree not to:

• use the Service for any unlawful, fraudulent, or harmful purpose;
• enter or upload content that infringes others' rights, is illegal, or that you do not have permission to share (including information about other people);
• attempt to access, tamper with, or disrupt the Service, its security, or its infrastructure;
• reverse-engineer, decompile, or attempt to extract source code except as permitted by law;
• use automated means to access the Service in a way that burdens our systems; or
• misuse the Service to launder money, evade taxes, or facilitate any illegal financial activity.

We may suspend or terminate access that violates these Terms.

7. Your Content

You retain ownership of the content you create in Tide (such as trip names, expenses, notes, and receipt images — “Your Content”). You grant us a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely to operate and provide the Service to you and your group.

You are responsible for Your Content and represent that you have the rights necessary to submit it. Content you contribute to a shared group may remain visible to that group, in de-identified form, after you delete your account, so the group's records stay accurate (see the Privacy Policy).

8. Third-Party Services

Tide relies on third-party providers to function, including Clerk (authentication) and Convex (backend database and file storage), and supports sign-in with Apple and Google. Your use of those features may be subject to the third parties' own terms and privacy policies. We are not responsible for third-party services, and their availability is outside our control.

9. Intellectual Property

The Service, including the Tide name, logo, design, and software (excluding Your Content), is owned by us and protected by intellectual property laws. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App for your own non-commercial use. No other rights are granted.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that calculations, balances, or settle-up suggestions will be accurate or free of errors. You use the Service at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of money, profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service — including any unpaid balances, disputes between members, or reliance on any figure shown in the app. To the extent we are found liable, our total aggregate liability will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim (which, for a free app, may be zero) or USD $50.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless the developer of Tide from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your infringement of any third party's rights.

13. Termination

You may stop using the Service and delete your account at any time from within the app or by contacting us. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Changes to the Service or These Terms

We may modify or discontinue the Service, or update these Terms, at any time. If we make material changes to these Terms, we will update the “Last updated” date above and, where appropriate, provide notice within the app. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles, and subject to any mandatory consumer-protection rights you have where you live. You agree to first attempt to resolve any dispute informally by contacting us. The courts of England and Wales will have exclusive jurisdiction over any dispute not resolved informally, except that if you are a consumer you may also be entitled to bring proceedings in the courts of your own country of residence.

16. Additional Terms for Apple App Store

If you download Tide from the Apple App Store, the following additional terms apply. In the event of any conflict, these terms govern for the Apple-sourced App:

• Acknowledgement. These Terms are between you and the developer of Tide only, and not with Apple. Apple is not responsible for the App or its content.
• Scope of license. The license granted for the App is a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Maintenance and support. The developer is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support.
• Warranty. The developer is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Product claims. The developer, not Apple, is responsible for addressing any claims relating to the App, including product liability, legal or regulatory non-compliance, and consumer protection claims.
• Intellectual property. In the event of any third-party claim that the App infringes intellectual property rights, the developer, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim.
• Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.

17. Additional Terms for Google Play

If you download Tide from Google Play, your use is also subject to the Google Play Terms of Service. The developer, not Google, is solely responsible for the App and for support, warranties, and any claims relating to it. Google is not a party to these Terms and is not responsible for the App.
